第1条（適用）

本規約は、digiCats（運営責任者: 高島 淳司。以下「当方」）が提供する SNS Creator Studio（以下「本ツール」）の利用条件を定めるものです。利用者は、本規約に同意のうえ本ツールを利用するものとします。

第2条（本ツールの内容）

本ツールは、利用者自身の TikTok アカウントについて、動画の投稿、下書きへの送信、および自分の投稿の実績の確認を行うためのWeb Consoleおよびコマンドラインツールです。当方はTikTok OAuthの認可コード交換、トークン更新・失効、およびWeb ConsoleからTikTokへの動画中継のためのサーバーを運用します。

第3条（TikTok の API の利用）

  1. 本ツールは TikTok の API（Login Kit、Display API、Content Posting API）を利用しています。利用者は TikTok 利用規約 および TikTok プライバシーポリシー に同意するものとします。
  2. 利用者は、本ツールを通じた操作についても TikTok の規約およびコミュニティガイドラインが適用されることを理解し、これを遵守するものとします。
  3. TikTok の API の仕様変更・障害・利用制限により、本ツールの機能の全部または一部が利用できなくなる場合があります。

第4条（利用者の責任）

  1. 利用者は、自己の責任において認証情報を管理するものとします。
  2. 本ツールは動画の投稿を行います。投稿されたコンテンツおよびその結果について、責任は利用者が負うものとします。
  3. 利用者は、投稿するコンテンツが第三者の権利（著作権、肖像権、商標権その他）を侵害しないことを保証するものとします。
  4. タイアップ・プロモーションを含む投稿を行う場合、利用者は TikTok の定める商用コンテンツの開示を適切に行うものとします。
  5. 利用者は、TikTok の API のレート制限の範囲内で本ツールを利用するものとします。

第5条（禁止事項）

利用者は、本ツールの利用にあたり、以下の行為をしてはなりません。

  1. 法令または公序良俗に違反する行為
  2. 第三者の権利を侵害する行為
  3. TikTok の利用規約またはコミュニティガイドラインに違反する行為
  4. TikTok の API に過度な負荷をかける行為
  5. 利用者自身が権限を持たないアカウントに対して本ツールを利用する行為

第6条（免責）

  1. 当方は、本ツールについて、その完全性・正確性・有用性・特定目的への適合性を保証しません。
  2. 当方は、TikTok の API の仕様変更、障害、アクセス制限、アカウント停止等により利用者に生じた損害について、責任を負いません。
  3. 本ツールの利用により利用者に生じた損害について、当方は責任を負いません。ただし、当方に故意または重大な過失がある場合はこの限りではありません。

第7条（本規約の変更）

当方は、必要と判断した場合、本規約を変更することができます。変更した場合は、本ページに掲載します。

第8条（準拠法・管轄）

  1. 本規約の準拠法は日本法とします。
  2. 本ツールに関して紛争が生じた場合、大阪地方裁判所を第一審の専属的合意管轄裁判所とします。

Terms of Service (English)

This is a translation of the Japanese terms above. If the two differ, the Japanese version prevails.

Article 1 (Scope)

These Terms set out the conditions for using SNS Creator Studio (“the Service”) provided by digiCats (operator: Junji Takashima; “we”). Users use the Service after agreeing to these Terms.

Article 2 (The Service)

The Service is a Web Console and a command-line tool for publishing videos to the user’s own TikTok account, sending videos to drafts, and checking the performance of the user’s own posts. We operate a server that exchanges TikTok OAuth authorization codes, refreshes and revokes tokens, and relays videos from the Web Console to TikTok.

Article 3 (Use of TikTok APIs)

  1. The Service uses TikTok APIs (Login Kit, Display API, and Content Posting API). Users agree to the TikTok Terms of Service and the TikTok Privacy Policy.
  2. Users understand that TikTok’s terms and Community Guidelines also apply to actions taken through the Service, and agree to follow them.
  3. Changes to, outages of, or restrictions on TikTok’s APIs may make all or part of the Service unavailable.

Article 4 (User responsibilities)

  1. Users manage their own credentials at their own responsibility.
  2. The Service publishes videos. Users are responsible for the content they post and its consequences.
  3. Users warrant that the content they post does not infringe the rights of third parties (copyright, portrait rights, trademarks, or other rights).
  4. When posting content that includes sponsorships or promotions, users must properly disclose commercial content as required by TikTok.
  5. Users use the Service within TikTok’s API rate limits.

Article 5 (Prohibited conduct)

When using the Service, users must not:

  1. Violate laws or public order and morals
  2. Infringe the rights of third parties
  3. Violate TikTok’s Terms of Service or Community Guidelines
  4. Place excessive load on TikTok’s APIs
  5. Use the Service on any account the user is not authorized to operate

Article 6 (Disclaimer)

  1. We make no warranty as to the completeness, accuracy, usefulness, or fitness for a particular purpose of the Service.
  2. We are not liable for damages arising from changes to TikTok’s APIs, outages, access restrictions, account suspensions, or similar events.
  3. We are not liable for damages arising from use of the Service, except in cases of our willful misconduct or gross negligence.

Article 7 (Changes to these Terms)

We may change these Terms when we consider it necessary. Changes will be posted on this page.

Article 8 (Governing law and jurisdiction)

  1. These Terms are governed by the laws of Japan.
  2. The Osaka District Court has exclusive jurisdiction as the court of first instance for any dispute concerning the Service.
